Clinic partner terms

These terms are the agreement between TriageMethod Ltd, a company registered in Ireland and trading as TriageFit ("we", "us"), and the healthcare organisation that registers as a clinic partner (the "Clinic", "you"). They cover the partnership itself: the partner link, the patient discount, the clinic portal, the clinician seats and the sharing of a patient’s progress with the Clinic under that patient’s own consent. Nothing here is a fee. A Clinic that buys seat packs for its patients does so under the corporate terms of service, and those terms and the data processing agreement govern that purchase.
1. The agreement and who accepts it
The Clinic accepts these terms when the person registering it at /business/clinics/register ticks the acceptance box. That person confirms they are authorised to bind the Clinic, and their account becomes the Clinic’s first organisation admin. We record the version accepted and the instant of acceptance against the registration, so both of us can always see which edition applies.
2. Definitions
Service means the TriageFit coaching service, its app, its clinic portal and its employer portal. Partner Link means the signup link carrying the Clinic’s partner code. Referred Patient means a person who joins the Service through the Partner Link or through an invitation the Clinic sends them as a patient. Clinician Seat means an account the Clinic’s admin invites in the healthcare-provider role. Clinical Sharing means a Referred Patient’s own choice, made in the Service, to let the Clinic’s clinicians see their progress summary. Verification means our confirmation, after reading the registration, that the Clinic is a healthcare provider and Clinical Sharing may be offered to its patients. Corporate Terms means the corporate terms of service linked above, and DPA means the data processing agreement that sits with them.
3. Registration and verification
Registering creates the Clinic’s organisation in the Service at once. From that moment the Clinic’s admin can open the portal, create the Partner Link, print the one-pager and invite clinicians, and a Referred Patient joining through the link gets the discount in clause 4.
Clinical Sharing waits for Verification. We read every registration ourselves, may ask the contact named on it for evidence that the Clinic is a healthcare provider, and then either verify the Clinic or decline the registration. Until we verify, no Referred Patient is asked to share anything with the Clinic, no clinician can see any patient’s progress, and the Clinic’s portal says so. We tell the contact the outcome by email. We do not promise how long Verification takes, and we may decline a registration without giving a reason beyond the one in the email.
If we decline, the Partner Link stops working, the Clinician Seats and the portal close, and the organisation is removed from the clinic programme. Anyone who joined through the link before that keeps their own membership, their discount already applied and their history.
4. The partner link and the patient discount
The Clinic may give the Partner Link, and the one-pager that carries it, to its own patients and the people under its care. A Referred Patient who signs up through it gets 10% off their first payment, shown on their receipt as Clinic partner welcome. We may change the size of the discount for future sign-ups under clause 16; a discount already applied is never taken back.
The Partner Link is for the Clinic’s own patients. It may not be advertised to the public, sold, listed on a discount or coupon site, or offered to people the Clinic is not caring for. We may pause a link that is being used that way while we talk to the Clinic about it.
The Clinic pays nothing for the partnership and receives nothing for a referral: no commission, no fee, no credit. Where an affiliate introduced the Clinic to us, we may pay that affiliate a commission on Referred Patients’ payments under our affiliate agreement. That costs the Clinic and the patient nothing and changes nothing about the patient’s membership.
5. Referred patients’ own accounts
Every Referred Patient is a member of the Service in their own right, under our consumer terms and privacy notice. Their coaching relationship is with us. Their membership never depends on Clinical Sharing: a patient who never shares, or who stops sharing, keeps the full service and the discount they joined with. We never tell the Clinic that a particular person declined to share, and the Clinic sees nothing about a Referred Patient who is not sharing beyond the fact that a seat was used, where the Clinic funded that seat.
6. Clinical sharing
Clinical Sharing happens only under the Referred Patient’s own consent, given in the Service, and only after Verification. The patient is asked in plain words at checkout or in their settings, can decline, and can withdraw at any time from their settings. Withdrawal stops the flow immediately; it does not erase what a clinician has already read. A clinician sees the progress summary the Service shows for that patient, described on the clinic partnership page, and nothing beyond it. Every read is logged with who read what and when.
Only people the Clinic’s admin has invited into Clinician Seats can see a sharing patient’s summary. The Clinic must ensure those seats go only to clinicians involved in its patients’ care and are removed when a clinician leaves. For anything a clinician reads under Clinical Sharing, the Clinic is a controller in its own right under data protection law and is responsible for what it does with it. We remain the controller of the Service and of each patient’s membership.
7. Group reporting
The portal shows the Clinic group-level engagement figures for the people on its roster. Those figures are aggregated and are withheld whenever a group is smaller than five people, so that no figure can identify anyone. The Clinic must not attempt to identify an individual from them.
8. Seats and cost
The Partner Link, the Clinician Seats, the clinic portal and the one-pager are the partnership, and the Clinic pays nothing for them. Patients pay for their own membership. If the Clinic wants to fund memberships for its patients, it buys seat packs under the Corporate Terms and the DPA, and clauses 5 and 6 apply to those patients in the same way.
9. Your responsibilities
- Be a healthcare provider, and tell us accurately who you are when you register.
- Keep the admin and clinician accounts secure, and remove a seat when the person holding it leaves the Clinic or stops treating your patients.
- Give the Partner Link only to the people clause 4 allows.
- Make clear to every patient that the Service is optional, that it is coaching and not medical care, and that sharing is their choice.
- Use what a clinician reads under Clinical Sharing only in the care of that patient, and comply with data protection law and your professional obligations in doing so.
- Never treat the Service as a medical record or a substitute for clinical judgement.
- Tell us at once if you believe an account or a seat has been compromised.
10. Our responsibilities
We provide the Service with reasonable skill and care, keep the clinic portal and the Partner Link available except for maintenance and events outside our control, run the Service under the security measures described on the security overview, and offer Clinical Sharing only to patients of a verified Clinic. We may change or retire a feature of the Service; where a change affects what the Clinic receives under these terms, clause 16 applies.
11. What the service is
TriageFit is a digital coaching service for training, nutrition and wellbeing. It is not medical care, and nothing in it diagnoses, treats or monitors a condition. Our safety screening of what a member writes runs between us and that member and is not a clinical service to the Clinic. The Clinic remains responsible for the clinical care of its patients, and a progress summary is information for that care, not advice about it.
12. Confidentiality
Each of us keeps confidential the information the other marks as confidential or that a reasonable person would treat as such, uses it only for the partnership, and shares it only with people who need it and are bound to keep it. The duty lasts for three years after the partnership ends and does not cover information that is public, already known, or required by law to be disclosed.
13. Intellectual property
The Service, its content and its trade marks are ours or our licensors’. The Clinic may say that it partners with TriageFit and may print and hand out the one-pager unaltered. Nothing here grants either of us any other right in the other’s intellectual property.
14. Liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.
Subject to that, neither of us is liable to the other for loss of profit, business, goodwill or data, or for any indirect or consequential loss, and each party’s total liability under or in connection with these terms in any twelve-month period is limited to the greater of EUR 1,000 and the amount the Clinic paid us in that period under the Corporate Terms. The Clinic indemnifies us against claims by its patients or clinicians arising from the Clinic’s breach of clauses 4, 6 or 9.
15. Ending the partnership
Either of us may end the partnership at any time by email to the other at the contact address on record. We may also suspend or end it at once where the Clinic breaches clause 4, 6 or 9, where we reasonably believe the Clinic is not a healthcare provider, or where continuing would put a member at risk. When the partnership ends, the Partner Link stops working, the Clinician Seats and the portal close, and no further progress flows to the Clinic. Every Referred Patient keeps their membership, their discount already applied and their history, and their own settings show the clinic as closed. Clauses 5, 6, 12, 14, 17 and 18 survive.
16. Changes to these terms
We may change these terms, the discount in clause 4 for future sign-ups, or what the Service provides. A change applies 30 days after we email the new version to the Clinic’s contact address, and each version carries its own number and date at the top of this page. A Clinic that does not accept a change may end the partnership under clause 15 before it applies.
17. General
These terms, together with the registration and any Corporate Terms the Clinic accepts, are the entire agreement between us about the partnership. Neither of us may assign them without the other’s written consent, except that we may assign them to a successor to our business. If a clause is found unenforceable the rest stands. A delay in enforcing a right is not a waiver of it. Notices go by email to the Clinic’s contact address and to info@triagemethod.com.
18. Governing law and disputes
These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction over any dispute about them. Before either of us starts proceedings, we each agree to raise the dispute with the other in writing and try to resolve it within 30 days.
